EMPLOYEE CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT

This Employee Confidentiality and Non-Disclosure Agreement ("Agreement") is made and entered into on this date by and between:


EFIKO LEARNING, an online company incorporated under the laws of the United States of America, with a primary address at www.efikolearning.com ("EFIKO LEARNING" or the "Company");

AND

[Employee's Full Legal Name], with an address at [Employee's Address] ("Employee").


BACKGROUND

Efiko Learning operates an online educational platform containing confidential and proprietary information, such as curriculum, teaching methods, technology, and student data. As the Employee will have access to this information during their duties, both parties agree to the following terms in consideration of employment.


1. Definition of Confidential Information

"Confidential Information" refers to all non-public information (oral, written, or digital) accessed by the Employee, including:

  1. Proprietary and Educational Content: Lesson plans, curriculum, teaching methodologies, assessment materials, and internal training resources.
  2. Student and User Information: Names, contact details, academic records, performance data, and login credentials for students, parents, or platform users.
  3. Business and Operational Information: Business plans, financial data, marketing strategies, software code, system architecture, and unreleased platform features.
  4. Exclusions: Confidential Information does not include data that becomes public through no fault of the Employee, was already known to the Employee, or is lawfully obtained from a third party.


2. Confidentiality and Data Protection Obligations

The Employee agrees to:

  1. Maintain Confidentiality: Hold all information in strict confidence and only disclose it with prior written authorization from the Company.
  2. Limited Use: Use information solely for legitimate business purposes related to their role.
  3. Student Privacy: Comply with privacy laws and only contact students or parents through approved Company communication channels.
  4. Security Measures: Safeguard information by securing devices and using strong passwords.


3. Term and Survival

This Agreement is effective throughout the Employee’s employment. Obligations regarding trade secrets and confidential information continue indefinitely after employment ends.


4. Return and Destruction of Materials

Upon termination or request, the Employee must immediately return or securely destroy all Confidential Information, including digital copies and login access, and delete all Company data from personal devices.


5. Legal Remedies

The Employee acknowledges that a breach may cause irreparable harm. The Company is entitled to pursue legal remedies, including injunctive relief and monetary damages.


6. Governing Law

This Agreement is governed by the laws of the United States of America, specifically the laws of the State of New York
